      答(da):知識產權(quan)(包含(han)商業秘密)具有(you)重大的(de)(de)經濟(ji)價值。在(zai)(zai)(zai)(zai)社會主義(yi)市(shi)場(chang)經濟(ji)條件(jian)下,市(shi)場(chang)主體(ti)的(de)(de)生存(cun)發展與勞(lao)(lao)動(dong)(dong)(dong)人(ren)(ren)(ren)(ren)(ren)(ren)才(cai)的(de)(de)競(jing)(jing)(jing)(jing)(jing)(jing)爭密切相關(guan)。設(she)立競(jing)(jing)(jing)(jing)(jing)(jing)業限(xian)(xian)制(zhi)制(zhi)度的(de)(de)目(mu)的(de)(de)是避免惡性競(jing)(jing)(jing)(jing)(jing)(jing)爭,這項(xiang)制(zhi)度是衡平保(bao)護(hu)用(yong)(yong)人(ren)(ren)(ren)(ren)(ren)(ren)單(dan)(dan)(dan)位(wei)(wei)經營(ying)權(quan)與勞(lao)(lao)動(dong)(dong)(dong)者擇業權(quan)的(de)(de)具體(ti)體(ti)現。最高人(ren)(ren)(ren)(ren)(ren)(ren)民法(fa)院高度重視競(jing)(jing)(jing)(jing)(jing)(jing)業限(xian)(xian)制(zhi)糾紛化解(jie)工作(zuo),在(zai)(zai)(zai)(zai)《解(jie)釋二》制(zhi)定(ding)過(guo)程中,堅持(chi)既保(bao)護(hu)用(yong)(yong)人(ren)(ren)(ren)(ren)(ren)(ren)單(dan)(dan)(dan)位(wei)(wei)競(jing)(jing)(jing)(jing)(jing)(jing)爭優勢,又暢通人(ren)(ren)(ren)(ren)(ren)(ren)才(cai)自由流動(dong)(dong)(dong)的(de)(de)理念(nian)。在(zai)(zai)(zai)(zai)職(zhi)工作(zuo)期間(jian),用(yong)(yong)人(ren)(ren)(ren)(ren)(ren)(ren)單(dan)(dan)(dan)位(wei)(wei)通過(guo)支付(fu)勞(lao)(lao)動(dong)(dong)(dong)報(bao)酬保(bao)障勞(lao)(lao)動(dong)(dong)(dong)者的(de)(de)就業和(he)生存(cun)權(quan),競(jing)(jing)(jing)(jing)(jing)(jing)業限(xian)(xian)制(zhi)人(ren)(ren)(ren)(ren)(ren)(ren)員基(ji)于對用(yong)(yong)人(ren)(ren)(ren)(ren)(ren)(ren)單(dan)(dan)(dan)位(wei)(wei)的(de)(de)忠實義(yi)務應(ying)(ying)承擔在(zai)(zai)(zai)(zai)職(zhi)競(jing)(jing)(jing)(jing)(jing)(jing)業限(xian)(xian)制(zhi)義(yi)務。因此,《解(jie)釋二》在(zai)(zai)(zai)(zai)明確“競(jing)(jing)(jing)(jing)(jing)(jing)業限(xian)(xian)制(zhi)”不應(ying)(ying)被(bei)濫用(yong)(yong)鮮(xian)明導向的(de)(de)同(tong)時(shi),也規定(ding),用(yong)(yong)人(ren)(ren)(ren)(ren)(ren)(ren)單(dan)(dan)(dan)位(wei)(wei)依法(fa)與競(jing)(jing)(jing)(jing)(jing)(jing)業限(xian)(xian)制(zhi)人(ren)(ren)(ren)(ren)(ren)(ren)員約(yue)(yue)定(ding)的(de)(de)在(zai)(zai)(zai)(zai)職(zhi)競(jing)(jing)(jing)(jing)(jing)(jing)業限(xian)(xian)制(zhi)條款合法(fa)有(you)效,用(yong)(yong)人(ren)(ren)(ren)(ren)(ren)(ren)單(dan)(dan)(dan)位(wei)(wei)無(wu)需為(wei)此支付(fu)經濟(ji)補償。因勞(lao)(lao)動(dong)(dong)(dong)者違反(fan)競(jing)(jing)(jing)(jing)(jing)(jing)業限(xian)(xian)制(zhi)約(yue)(yue)定(ding)會給用(yong)(yong)人(ren)(ren)(ren)(ren)(ren)(ren)單(dan)(dan)(dan)位(wei)(wei)帶來(lai)風(feng)險和(he)損(sun)失(shi),為(wei)保(bao)護(hu)用(yong)(yong)人(ren)(ren)(ren)(ren)(ren)(ren)單(dan)(dan)(dan)位(wei)(wei)的(de)(de)競(jing)(jing)(jing)(jing)(jing)(jing)爭優勢,《解(jie)釋二》規定(ding)勞(lao)(lao)動(dong)(dong)(dong)者違反(fan)競(jing)(jing)(jing)(jing)(jing)(jing)業限(xian)(xian)制(zhi)約(yue)(yue)定(ding)時(shi),應(ying)(ying)依法(fa)承擔違約(yue)(yue)責任(ren)。
