近(jin)日,人(ren)力資源社(she)會(hui)保障部(bu)辦公廳印發了(le)《企業(ye)實施競(jing)業(ye)限制合規指引》(以下簡稱《指引》)。人(ren)力資源社(she)會(hui)保障部(bu)勞動關(guan)系司負責同(tong)志就(jiu)相關(guan)問(wen)題回(hui)答了(le)記者提問(wen)。
一、出臺《指引》的背景和意義是什么?
競(jing)業(ye)(ye)(ye)(ye)(ye)限(xian)(xian)(xian)制是指(zhi)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)與(yu)負有(you)(you)(you)保(bao)護(hu)商業(ye)(ye)(ye)(ye)(ye)秘密(mi)(mi)義務(wu)的(de)(de)(de)(de)勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)者(zhe)約(yue)定(ding)(ding),在解除或(huo)終(zhong)止(zhi)勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)合同(tong)(tong)后一定(ding)(ding)期(qi)限(xian)(xian)(xian)內,勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)者(zhe)不(bu)得到(dao)與(yu)本(ben)單(dan)位生(sheng)產(chan)或(huo)經(jing)營(ying)同(tong)(tong)類(lei)(lei)產(chan)品、從事同(tong)(tong)類(lei)(lei)業(ye)(ye)(ye)(ye)(ye)務(wu)的(de)(de)(de)(de)有(you)(you)(you)競(jing)爭(zheng)關系的(de)(de)(de)(de)其他(ta)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)就(jiu)業(ye)(ye)(ye)(ye)(ye),也不(bu)得自(zi)己(ji)開業(ye)(ye)(ye)(ye)(ye)生(sheng)產(chan)或(huo)經(jing)營(ying)同(tong)(tong)類(lei)(lei)產(chan)品、從事同(tong)(tong)類(lei)(lei)業(ye)(ye)(ye)(ye)(ye)務(wu)。勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)合同(tong)(tong)法(fa)對(dui)(dui)競(jing)業(ye)(ye)(ye)(ye)(ye)限(xian)(xian)(xian)制制度(du)作(zuo)出(chu)了(le)(le)原(yuan)則(ze)規定(ding)(ding)。在法(fa)律實(shi)施(shi)過程中,競(jing)業(ye)(ye)(ye)(ye)(ye)限(xian)(xian)(xian)制制度(du)對(dui)(dui)于保(bao)護(hu)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)商業(ye)(ye)(ye)(ye)(ye)秘密(mi)(mi)、營(ying)造(zao)公(gong)平競(jing)爭(zheng)環境發揮(hui)了(le)(le)積極作(zuo)用,但也出(chu)現了(le)(le)一些(xie)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)濫用競(jing)業(ye)(ye)(ye)(ye)(ye)限(xian)(xian)(xian)制制度(du)的(de)(de)(de)(de)問題。有(you)(you)(you)的(de)(de)(de)(de)將(jiang)未掌握商業(ye)(ye)(ye)(ye)(ye)秘密(mi)(mi)的(de)(de)(de)(de)勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)者(zhe)納入(ru)競(jing)業(ye)(ye)(ye)(ye)(ye)限(xian)(xian)(xian)制范圍,有(you)(you)(you)的(de)(de)(de)(de)隨意(yi)限(xian)(xian)(xian)制勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)者(zhe)離職后的(de)(de)(de)(de)就(jiu)業(ye)(ye)(ye)(ye)(ye)范圍,有(you)(you)(you)的(de)(de)(de)(de)僅支付較低的(de)(de)(de)(de)經(jing)濟補償,卻要求(qiu)勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)者(zhe)承擔過高的(de)(de)(de)(de)違約(yue)金等(deng)。這些(xie)不(bu)當做法(fa)嚴重影響了(le)(le)勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)者(zhe)就(jiu)業(ye)(ye)(ye)(ye)(ye)擇業(ye)(ye)(ye)(ye)(ye)權和(he)(he)職業(ye)(ye)(ye)(ye)(ye)發展,由(you)此產(chan)生(sheng)了(le)(le)大量的(de)(de)(de)(de)爭(zheng)議糾紛,既(ji)妨礙了(le)(le)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)間的(de)(de)(de)(de)公(gong)平競(jing)爭(zheng),也造(zao)成(cheng)了(le)(le)人(ren)力(li)資源(yuan)的(de)(de)(de)(de)極大浪費(fei)。同(tong)(tong)時,也有(you)(you)(you)少(shao)數勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)者(zhe)違反競(jing)業(ye)(ye)(ye)(ye)(ye)限(xian)(xian)(xian)制約(yue)定(ding)(ding),刻意(yi)規避違約(yue)責(ze)任(ren),侵(qin)害(hai)了(le)(le)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)的(de)(de)(de)(de)利益。針對(dui)(dui)這些(xie)問題,為統籌保(bao)護(hu)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)商業(ye)(ye)(ye)(ye)(ye)秘密(mi)(mi)和(he)(he)勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)者(zhe)合法(fa)權益,促(cu)進企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)間公(gong)平競(jing)爭(zheng),實(shi)現全(quan)社會(hui)人(ren)力(li)資源(yuan)的(de)(de)(de)(de)有(you)(you)(you)序流(liu)動(dong)(dong)(dong)(dong)和(he)(he)高效配置,近期(qi),我(wo)部加(jia)強調研,廣(guang)泛聽取企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)、勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)者(zhe)、專家學(xue)者(zhe)、仲裁機構、法(fa)院等(deng)各方面(mian)意(yi)見,在現行法(fa)律框(kuang)架下制定(ding)(ding)了(le)(le)《指(zhi)引》,細化了(le)(le)競(jing)業(ye)(ye)(ye)(ye)(ye)限(xian)(xian)(xian)制合規實(shi)施(shi)的(de)(de)(de)(de)具體要求(qiu)。企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)可參照《指(zhi)引》,結(jie)合本(ben)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)實(shi)際,科(ke)學(xue)確(que)定(ding)(ding)競(jing)業(ye)(ye)(ye)(ye)(ye)限(xian)(xian)(xian)制的(de)(de)(de)(de)范圍,規范實(shi)施(shi)流(liu)程,與(yu)勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)者(zhe)合理約(yue)定(ding)(ding)相關權利和(he)(he)義務(wu),在妥(tuo)善保(bao)護(hu)自(zi)身商業(ye)(ye)(ye)(ye)(ye)秘密(mi)(mi)的(de)(de)(de)(de)同(tong)(tong)時,也切實(shi)保(bao)障好(hao)勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)者(zhe)的(de)(de)(de)(de)合法(fa)權益,促(cu)進勞(lao)(lao)(lao)(lao)動(dong)(dong)(dong)(dong)關系和(he)(he)諧穩定(ding)(ding),推動(dong)(dong)(dong)(dong)創造(zao)更加(jia)公(gong)平、更有(you)(you)(you)活力(li)的(de)(de)(de)(de)市場(chang)環境。
二、《指引》如何引導企業合規實施競業限制?

經(jing)濟(ji)(ji)(ji)(ji)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang)和違(wei)(wei)(wei)約(yue)(yue)(yue)金(jin)是(shi)(shi)競(jing)(jing)業(ye)(ye)限(xian)(xian)制(zhi)(zhi)制(zhi)(zhi)度的(de)(de)(de)(de)(de)重(zhong)要內容,其中經(jing)濟(ji)(ji)(ji)(ji)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang)是(shi)(shi)企(qi)業(ye)(ye)對勞(lao)動(dong)(dong)(dong)(dong)者(zhe)(zhe)(zhe)履(lv)行競(jing)(jing)業(ye)(ye)限(xian)(xian)制(zhi)(zhi)義務的(de)(de)(de)(de)(de)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang),違(wei)(wei)(wei)約(yue)(yue)(yue)金(jin)是(shi)(shi)勞(lao)動(dong)(dong)(dong)(dong)者(zhe)(zhe)(zhe)未履(lv)行競(jing)(jing)業(ye)(ye)限(xian)(xian)制(zhi)(zhi)義務需向(xiang)企(qi)業(ye)(ye)支(zhi)(zhi)(zhi)(zhi)付(fu)(fu)(fu)(fu)的(de)(de)(de)(de)(de)相(xiang)應金(jin)額(e)。實(shi)踐中有的(de)(de)(de)(de)(de)企(qi)業(ye)(ye)與勞(lao)動(dong)(dong)(dong)(dong)者(zhe)(zhe)(zhe)約(yue)(yue)(yue)定(ding)(ding)支(zhi)(zhi)(zhi)(zhi)付(fu)(fu)(fu)(fu)過低(di)的(de)(de)(de)(de)(de)競(jing)(jing)業(ye)(ye)限(xian)(xian)制(zhi)(zhi)經(jing)濟(ji)(ji)(ji)(ji)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang),但(dan)約(yue)(yue)(yue)定(ding)(ding)過高的(de)(de)(de)(de)(de)違(wei)(wei)(wei)約(yue)(yue)(yue)金(jin);有的(de)(de)(de)(de)(de)以(yi)日常支(zhi)(zhi)(zhi)(zhi)付(fu)(fu)(fu)(fu)給(gei)勞(lao)動(dong)(dong)(dong)(dong)者(zhe)(zhe)(zhe)的(de)(de)(de)(de)(de)工資(zi)中已包(bao)含競(jing)(jing)業(ye)(ye)限(xian)(xian)制(zhi)(zhi)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang)而不(bu)再額(e)外(wai)支(zhi)(zhi)(zhi)(zhi)付(fu)(fu)(fu)(fu)經(jing)濟(ji)(ji)(ji)(ji)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang)等(deng),針對這些問題,《指(zhi)引》做出(chu)以(yi)下規定(ding)(ding):一(yi)(yi)是(shi)(shi)明(ming)(ming)確(que)(que)確(que)(que)定(ding)(ding)經(jing)濟(ji)(ji)(ji)(ji)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang)的(de)(de)(de)(de)(de)參考(kao)因素。企(qi)業(ye)(ye)應根(gen)據企(qi)業(ye)(ye)商(shang)業(ye)(ye)秘(mi)密的(de)(de)(de)(de)(de)研發(fa)成本和商(shang)業(ye)(ye)價值(zhi)、限(xian)(xian)制(zhi)(zhi)從業(ye)(ye)范(fan)圍、勞(lao)動(dong)(dong)(dong)(dong)者(zhe)(zhe)(zhe)在(zai)職期(qi)間工資(zi)水平(ping)(ping)、對勞(lao)動(dong)(dong)(dong)(dong)者(zhe)(zhe)(zhe)就(jiu)業(ye)(ye)擇業(ye)(ye)和職業(ye)(ye)發(fa)展的(de)(de)(de)(de)(de)影響等(deng)合理確(que)(que)定(ding)(ding)經(jing)濟(ji)(ji)(ji)(ji)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang)。二(er)是(shi)(shi)明(ming)(ming)確(que)(que)經(jing)濟(ji)(ji)(ji)(ji)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang)標準(zhun)與競(jing)(jing)業(ye)(ye)限(xian)(xian)制(zhi)(zhi)期(qi)限(xian)(xian)相(xiang)適應。企(qi)業(ye)(ye)支(zhi)(zhi)(zhi)(zhi)付(fu)(fu)(fu)(fu)給(gei)勞(lao)動(dong)(dong)(dong)(dong)者(zhe)(zhe)(zhe)的(de)(de)(de)(de)(de)月(yue)(yue)經(jing)濟(ji)(ji)(ji)(ji)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang)一(yi)(yi)般(ban)不(bu)低(di)于(yu)勞(lao)動(dong)(dong)(dong)(dong)者(zhe)(zhe)(zhe)在(zai)勞(lao)動(dong)(dong)(dong)(dong)合同(tong)解除或終止(zhi)前十(shi)(shi)二(er)個月(yue)(yue)平(ping)(ping)均工資(zi)的(de)(de)(de)(de)(de)30%,且不(bu)低(di)于(yu)勞(lao)動(dong)(dong)(dong)(dong)合同(tong)履(lv)行地最低(di)工資(zi)標準(zhun)。競(jing)(jing)業(ye)(ye)限(xian)(xian)制(zhi)(zhi)期(qi)限(xian)(xian)超過1年的(de)(de)(de)(de)(de),月(yue)(yue)經(jing)濟(ji)(ji)(ji)(ji)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang)一(yi)(yi)般(ban)不(bu)宜(yi)低(di)于(yu)勞(lao)動(dong)(dong)(dong)(dong)者(zhe)(zhe)(zhe)在(zai)勞(lao)動(dong)(dong)(dong)(dong)合同(tong)解除或終止(zhi)前十(shi)(shi)二(er)月(yue)(yue)平(ping)(ping)均工資(zi)的(de)(de)(de)(de)(de)50%。三是(shi)(shi)明(ming)(ming)確(que)(que)經(jing)濟(ji)(ji)(ji)(ji)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang)支(zhi)(zhi)(zhi)(zhi)付(fu)(fu)(fu)(fu)形(xing)式。企(qi)業(ye)(ye)在(zai)競(jing)(jing)業(ye)(ye)限(xian)(xian)制(zhi)(zhi)期(qi)限(xian)(xian)內以(yi)貨幣形(xing)式按月(yue)(yue)向(xiang)勞(lao)動(dong)(dong)(dong)(dong)者(zhe)(zhe)(zhe)及時支(zhi)(zhi)(zhi)(zhi)付(fu)(fu)(fu)(fu)經(jing)濟(ji)(ji)(ji)(ji)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang),不(bu)得以(yi)日常支(zhi)(zhi)(zhi)(zhi)付(fu)(fu)(fu)(fu)給(gei)勞(lao)動(dong)(dong)(dong)(dong)者(zhe)(zhe)(zhe)的(de)(de)(de)(de)(de)工資(zi)、獎金(jin)中已包(bao)括競(jing)(jing)業(ye)(ye)限(xian)(xian)制(zhi)(zhi)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang)為由拒(ju)絕支(zhi)(zhi)(zhi)(zhi)付(fu)(fu)(fu)(fu)。四是(shi)(shi)明(ming)(ming)確(que)(que)合理確(que)(que)定(ding)(ding)違(wei)(wei)(wei)約(yue)(yue)(yue)金(jin)。違(wei)(wei)(wei)約(yue)(yue)(yue)金(jin)的(de)(de)(de)(de)(de)數(shu)額(e)要根(gen)據勞(lao)動(dong)(dong)(dong)(dong)者(zhe)(zhe)(zhe)泄露(lu)商(shang)業(ye)(ye)秘(mi)密可(ke)能造成的(de)(de)(de)(de)(de)經(jing)濟(ji)(ji)(ji)(ji)損失、企(qi)業(ye)(ye)支(zhi)(zhi)(zhi)(zhi)付(fu)(fu)(fu)(fu)給(gei)勞(lao)動(dong)(dong)(dong)(dong)者(zhe)(zhe)(zhe)的(de)(de)(de)(de)(de)競(jing)(jing)業(ye)(ye)限(xian)(xian)制(zhi)(zhi)經(jing)濟(ji)(ji)(ji)(ji)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang)的(de)(de)(de)(de)(de)數(shu)額(e)合理確(que)(que)定(ding)(ding),一(yi)(yi)般(ban)不(bu)宜(yi)超過約(yue)(yue)(yue)定(ding)(ding)競(jing)(jing)業(ye)(ye)限(xian)(xian)制(zhi)(zhi)經(jing)濟(ji)(ji)(ji)(ji)補(bu)(bu)(bu)償(chang)(chang)(chang)(chang)總額(e)的(de)(de)(de)(de)(de)5倍。
四、《指引》如何引導勞動者
為引(yin)導勞(lao)(lao)(lao)動(dong)(dong)(dong)者依法(fa)履(lv)(lv)行競(jing)(jing)業(ye)(ye)(ye)限(xian)(xian)(xian)制(zhi)(zhi)約(yue)(yue)(yue)(yue)(yue)定(ding),《指引(yin)》做出以(yi)(yi)下(xia)規(gui)定(ding):一是(shi)全面履(lv)(lv)行協(xie)議規(gui)定(ding)。啟動(dong)(dong)(dong)競(jing)(jing)業(ye)(ye)(ye)限(xian)(xian)(xian)制(zhi)(zhi)的(de),企(qi)業(ye)(ye)(ye)和勞(lao)(lao)(lao)動(dong)(dong)(dong)者應(ying)當按(an)(an)照依法(fa)訂立的(de)競(jing)(jing)業(ye)(ye)(ye)限(xian)(xian)(xian)制(zhi)(zhi)協(xie)議,全面履(lv)(lv)行各(ge)自的(de)義務。二(er)是(shi)了解核(he)實從(cong)業(ye)(ye)(ye)情(qing)況(kuang)。企(qi)業(ye)(ye)(ye)可(ke)以(yi)(yi)要(yao)求勞(lao)(lao)(lao)動(dong)(dong)(dong)者在(zai)競(jing)(jing)業(ye)(ye)(ye)限(xian)(xian)(xian)制(zhi)(zhi)期間(jian)報告個(ge)人從(cong)業(ye)(ye)(ye)情(qing)況(kuang),可(ke)以(yi)(yi)通過(guo)公開信息、同行信息交流、業(ye)(ye)(ye)務分析、接受舉報等方式,合(he)規(gui)了解核(he)實勞(lao)(lao)(lao)動(dong)(dong)(dong)者履(lv)(lv)行競(jing)(jing)業(ye)(ye)(ye)限(xian)(xian)(xian)制(zhi)(zhi)情(qing)況(kuang)。三是(shi)違約(yue)(yue)(yue)(yue)(yue)應(ying)支付(fu)違約(yue)(yue)(yue)(yue)(yue)金。勞(lao)(lao)(lao)動(dong)(dong)(dong)者違反競(jing)(jing)業(ye)(ye)(ye)限(xian)(xian)(xian)制(zhi)(zhi)約(yue)(yue)(yue)(yue)(yue)定(ding)或(huo)以(yi)(yi)各(ge)種方式規(gui)避競(jing)(jing)業(ye)(ye)(ye)限(xian)(xian)(xian)制(zhi)(zhi)約(yue)(yue)(yue)(yue)(yue)定(ding)的(de),企(qi)業(ye)(ye)(ye)可(ke)以(yi)(yi)要(yao)求勞(lao)(lao)(lao)動(dong)(dong)(dong)者按(an)(an)約(yue)(yue)(yue)(yue)(yue)定(ding)支付(fu)違約(yue)(yue)(yue)(yue)(yue)金,并(bing)要(yao)求勞(lao)(lao)(lao)動(dong)(dong)(dong)者繼續履(lv)(lv)行競(jing)(jing)業(ye)(ye)(ye)限(xian)(xian)(xian)制(zhi)(zhi)義務。四(si)是(shi)承擔賠(pei)償責任。勞(lao)(lao)(lao)動(dong)(dong)(dong)者違反競(jing)(jing)業(ye)(ye)(ye)限(xian)(xian)(xian)制(zhi)(zhi)約(yue)(yue)(yue)(yue)(yue)定(ding),給企(qi)業(ye)(ye)(ye)造(zao)成的(de)損失超過(guo)違約(yue)(yue)(yue)(yue)(yue)金標準的(de),企(qi)業(ye)(ye)(ye)可(ke)以(yi)(yi)要(yao)求相關方承擔賠(pei)償責任。
五、《指引》對競業限制爭議的解決途徑做出哪些規定?
《指引》明(ming)確,企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)與(yu)勞(lao)動(dong)者(zhe)(zhe)因競(jing)業(ye)(ye)(ye)(ye)限制(zhi)(zhi)發生(sheng)勞(lao)動(dong)爭(zheng)議的(de)(de),可(ke)(ke)以先協商解(jie)決(jue)。不(bu)愿(yuan)協商、協商不(bu)成的(de)(de),可(ke)(ke)以通(tong)過調解(jie)、仲(zhong)裁、訴訟等程序解(jie)決(jue)。對企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)未按約定在(zai)競(jing)業(ye)(ye)(ye)(ye)限制(zhi)(zhi)期(qi)限內給(gei)予勞(lao)動(dong)者(zhe)(zhe)經濟補償的(de)(de),勞(lao)動(dong)者(zhe)(zhe)可(ke)(ke)以向人力資源社(she)會(hui)保(bao)障行政(zheng)部門投訴。同(tong)時(shi)(shi),《指引》還明(ming)確,企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)工會(hui)可(ke)(ke)以收(shou)集勞(lao)動(dong)者(zhe)(zhe)對企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)競(jing)業(ye)(ye)(ye)(ye)限制(zhi)(zhi)制(zhi)(zhi)度和(he)實(shi)施的(de)(de)意見,及(ji)時(shi)(shi)向企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)反映(ying)。對企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)不(bu)當(dang)實(shi)施競(jing)業(ye)(ye)(ye)(ye)限制(zhi)(zhi)的(de)(de),可(ke)(ke)以提出(chu)意見或要求糾正。
