日前,重慶(qing)市第(di)三(san)中級人民法(fa)院判決了一起住宅小(xiao)(xiao)區更(geng)換(huan)電梯(ti)承(cheng)攬合同(tong)糾紛案,認定小(xiao)(xiao)區原(yuan)業委(wei)會(hui)主任未經業主表決同(tong)意(yi),擅自(zi)變(bian)(bian)更(geng)電梯(ti)改造(zao)合同(tong)條(tiao)款,變(bian)(bian)更(geng)條(tiao)款對全(quan)體業主不產生法(fa)律(lv)效(xiao)力(li)。
2018年(nian)4月(yue)(yue),杭(hang)(hang)(hang)(hang)富(fu)(fu)品(pin)(pin)(pin)(pin)山(shan)(shan)(shan)水住宅小區經(jing)(jing)公(gong)開招投標,賽(sai)(sai)奧(ao)(ao)(ao)(ao)公(gong)司(si)最(zui)終以73.5萬(wan)(wan)(wan)元(yuan)(yuan)(yuan)報價中標,由(you)其完成(cheng)杭(hang)(hang)(hang)(hang)富(fu)(fu)品(pin)(pin)(pin)(pin)山(shan)(shan)(shan)水住宅小區ABC三(san)棟(dong)樓三(san)臺電梯(ti)(ti)的(de)更(geng)換(huan)(huan)工(gong)程。4月(yue)(yue)29日(ri),時(shi)任(ren)杭(hang)(hang)(hang)(hang)富(fu)(fu)品(pin)(pin)(pin)(pin)山(shan)(shan)(shan)水業(ye)(ye)(ye)委(wei)(wei)(wei)(wei)會主任(ren)喻(yu)某(mou)(mou)(mou)未經(jing)(jing)小區業(ye)(ye)(ye)主表(biao)(biao)決同(tong)(tong)意,代表(biao)(biao)業(ye)(ye)(ye)委(wei)(wei)(wei)(wei)會與賽(sai)(sai)奧(ao)(ao)(ao)(ao)公(gong)司(si)簽訂(ding)合(he)同(tong)(tong)時(shi),擅自將(jiang)(jiang)招標文件(jian)本就(jiu)包(bao)含在內(nei)的(de)電梯(ti)(ti)的(de)廳門(men)(men)(men)大(da)門(men)(men)(men)套(tao)(tao)裝(zhuang)飾(shi)項(xiang)目單獨抽出并額外計(ji)價6.5萬(wan)(wan)(wan)元(yuan)(yuan)(yuan),從(cong)而將(jiang)(jiang)電梯(ti)(ti)更(geng)換(huan)(huan)總價變更(geng)為80萬(wan)(wan)(wan)元(yuan)(yuan)(yuan)。5月(yue)(yue)4日(ri),喻(yu)某(mou)(mou)(mou)又(you)擅自以業(ye)(ye)(ye)委(wei)(wei)(wei)(wei)會名(ming)義與賽(sai)(sai)奧(ao)(ao)(ao)(ao)公(gong)司(si)簽訂(ding)合(he)同(tong)(tong)變更(geng)書,約(yue)(yue)定賽(sai)(sai)奧(ao)(ao)(ao)(ao)公(gong)司(si)將(jiang)(jiang)三(san)臺電梯(ti)(ti)的(de)廳門(men)(men)(men)大(da)門(men)(men)(men)套(tao)(tao)裝(zhuang)飾(shi)項(xiang)目以5.8萬(wan)(wan)(wan)元(yuan)(yuan)(yuan)反包(bao)給杭(hang)(hang)(hang)(hang)富(fu)(fu)品(pin)(pin)(pin)(pin)山(shan)(shan)(shan)水業(ye)(ye)(ye)委(wei)(wei)(wei)(wei)會,雙方(fang)還約(yue)(yue)定如杭(hang)(hang)(hang)(hang)富(fu)(fu)品(pin)(pin)(pin)(pin)山(shan)(shan)(shan)水業(ye)(ye)(ye)委(wei)(wei)(wei)(wei)會不(bu)做(zuo)該項(xiang)目,由(you)賽(sai)(sai)奧(ao)(ao)(ao)(ao)公(gong)司(si)退還杭(hang)(hang)(hang)(hang)富(fu)(fu)品(pin)(pin)(pin)(pin)山(shan)(shan)(shan)水業(ye)(ye)(ye)委(wei)(wei)(wei)(wei)會大(da)門(men)(men)(men)套(tao)(tao)裝(zhuang)飾(shi)款(kuan)(kuan)6.2萬(wan)(wan)(wan)元(yuan)(yuan)(yuan)。其后,賽(sai)(sai)奧(ao)(ao)(ao)(ao)公(gong)司(si)即組(zu)織施工(gong),杭(hang)(hang)(hang)(hang)富(fu)(fu)品(pin)(pin)(pin)(pin)山(shan)(shan)(shan)水業(ye)(ye)(ye)委(wei)(wei)(wei)(wei)會先后向賽(sai)(sai)奧(ao)(ao)(ao)(ao)公(gong)司(si)支(zhi)付(fu)了62.5萬(wan)(wan)(wan)元(yuan)(yuan)(yuan)工(gong)程款(kuan)(kuan)。7月(yue)(yue)18日(ri),賽(sai)(sai)奧(ao)(ao)(ao)(ao)公(gong)司(si)向喻(yu)某(mou)(mou)(mou)個人賬戶轉(zhuan)款(kuan)(kuan)5.8萬(wan)(wan)(wan)元(yuan)(yuan)(yuan)。9月(yue)(yue)14日(ri),A棟(dong)B棟(dong)更(geng)換(huan)(huan)電梯(ti)(ti)交(jiao)(jiao)付(fu)使(shi)(shi)用(yong)。因喻(yu)某(mou)(mou)(mou)與賽(sai)(sai)奧(ao)(ao)(ao)(ao)公(gong)司(si)簽訂(ding)的(de)合(he)同(tong)(tong)附件(jian)載明(ming)的(de)C棟(dong)更(geng)換(huan)(huan)電梯(ti)(ti)轎廂(xiang)和開門(men)(men)(men)尺(chi)(chi)寸(cun)均比AB棟(dong)更(geng)換(huan)(huan)電梯(ti)(ti)寬度短了10厘米,賽(sai)(sai)奧(ao)(ao)(ao)(ao)公(gong)司(si)第(di)一(yi)次交(jiao)(jiao)付(fu)的(de)C棟(dong)更(geng)換(huan)(huan)電梯(ti)(ti)與實際尺(chi)(chi)寸(cun)不(bu)合(he)。11月(yue)(yue)23日(ri),喻(yu)某(mou)(mou)(mou)又(you)以業(ye)(ye)(ye)委(wei)(wei)(wei)(wei)會名(ming)義與賽(sai)(sai)奧(ao)(ao)(ao)(ao)公(gong)司(si)簽訂(ding)合(he)同(tong)(tong)變更(geng)書約(yue)(yue)定C棟(dong)電梯(ti)(ti)因尺(chi)(chi)寸(cun)錯誤而產(chan)生的(de)重(zhong)做(zuo)增加費(fei)用(yong)10.48萬(wan)(wan)(wan)元(yuan)(yuan)(yuan)由(you)雙方(fang)各承擔一(yi)半,同(tong)(tong)日(ri)喻(yu)某(mou)(mou)(mou)向賽(sai)(sai)奧(ao)(ao)(ao)(ao)公(gong)司(si)轉(zhuan)款(kuan)(kuan)5.24萬(wan)(wan)(wan)元(yuan)(yuan)(yuan)。2019年(nian)1月(yue)(yue)16日(ri),C棟(dong)電梯(ti)(ti)交(jiao)(jiao)付(fu)使(shi)(shi)用(yong)。同(tong)(tong)月(yue)(yue),杭(hang)(hang)(hang)(hang)富(fu)(fu)品(pin)(pin)(pin)(pin)山(shan)(shan)(shan)水小區經(jing)(jing)業(ye)(ye)(ye)主改選產(chan)生新一(yi)屆業(ye)(ye)(ye)主委(wei)(wei)(wei)(wei)員會,喻(yu)某(mou)(mou)(mou)未入選。后賽(sai)(sai)奧(ao)(ao)(ao)(ao)公(gong)司(si)以杭(hang)(hang)(hang)(hang)富(fu)(fu)品(pin)(pin)(pin)(pin)山(shan)(shan)(shan)水業(ye)(ye)(ye)委(wei)(wei)(wei)(wei)會拒不(bu)支(zhi)付(fu)尚余17.5萬(wan)(wan)(wan)元(yuan)(yuan)(yuan)電梯(ti)(ti)更(geng)換(huan)(huan)價款(kuan)(kuan)訴至(zhi)法院。
一審法院(yuan)判決支持了(le)賽奧公司的訴訟請求。杭富品(pin)山水(shui)業(ye)委會以原業(ye)委會主任(ren)喻某與賽奧公司惡(e)意串通變更價(jia)款等合(he)同(tong)內容損害業(ye)主利(li)益為由提起(qi)上(shang)訴。
重慶(qing)三(san)(san)中(zhong)(zhong)院經(jing)審(shen)理認(ren)為,杭(hang)富(fu)品(pin)山(shan)(shan)水(shui)住宅小區更換(huan)電(dian)(dian)梯需動(dong)用業(ye)(ye)(ye)主(zhu)(zhu)共有(you)的(de)(de)建筑物(wu)及(ji)其(qi)附屬設施(shi)的(de)(de)維修資(zi)金(jin)。根據物(wu)權法第(di)(di)七十(shi)六條(tiao)第(di)(di)一(yi)(yi)款(kuan)(kuan)(kuan)(kuan)第(di)(di)五項及(ji)第(di)(di)二(er)(er)款(kuan)(kuan)(kuan)(kuan)規定(ding)(ding),使用建筑物(wu)及(ji)其(qi)附屬設施(shi)的(de)(de)維修資(zi)金(jin),應當經(jing)專(zhuan)有(you)部分(fen)建筑物(wu)總面積三(san)(san)分(fen)之二(er)(er)以(yi)上(shang)的(de)(de)業(ye)(ye)(ye)主(zhu)(zhu)且(qie)占(zhan)總人數三(san)(san)分(fen)之二(er)(er)以(yi)上(shang)的(de)(de)業(ye)(ye)(ye)主(zhu)(zhu)同(tong)(tong)(tong)意(yi)。時任杭(hang)富(fu)品(pin)山(shan)(shan)水(shui)業(ye)(ye)(ye)委(wei)會(hui)(hui)(hui)主(zhu)(zhu)任喻某在未經(jing)業(ye)(ye)(ye)主(zhu)(zhu)表決同(tong)(tong)(tong)意(yi)的(de)(de)情況下,擅自與賽(sai)(sai)奧(ao)(ao)(ao)公(gong)(gong)(gong)司(si)簽(qian)訂合同(tong)(tong)(tong)及(ji)合同(tong)(tong)(tong)變更書就(jiu)電(dian)(dian)梯更換(huan)價(jia)款(kuan)(kuan)(kuan)(kuan)、施(shi)工項目等內容進行(xing)(xing)了多(duo)次(ci)變更,違反(fan)先前約(yue)定(ding)(ding),且(qie)更改后(hou)的(de)(de)價(jia)款(kuan)(kuan)(kuan)(kuan)未向(xiang)(xiang)業(ye)(ye)(ye)主(zhu)(zhu)公(gong)(gong)(gong)示(shi)。隨(sui)后(hou)賽(sai)(sai)奧(ao)(ao)(ao)公(gong)(gong)(gong)司(si)又(you)與喻某所代表的(de)(de)杭(hang)富(fu)品(pin)山(shan)(shan)水(shui)業(ye)(ye)(ye)委(wei)會(hui)(hui)(hui)簽(qian)訂合同(tong)(tong)(tong)變更書將電(dian)(dian)梯的(de)(de)廳門(men)大門(men)套裝(zhuang)飾(shi)項目以(yi)5.8萬(wan)(wan)元(yuan)反(fan)包給(gei)杭(hang)富(fu)品(pin)山(shan)(shan)水(shui)業(ye)(ye)(ye)委(wei)會(hui)(hui)(hui),賽(sai)(sai)奧(ao)(ao)(ao)公(gong)(gong)(gong)司(si)向(xiang)(xiang)喻某私人賬戶付(fu)款(kuan)(kuan)(kuan)(kuan),喻某收款(kuan)(kuan)(kuan)(kuan)后(hou)并未上(shang)交至業(ye)(ye)(ye)委(wei)會(hui)(hui)(hui),該反(fan)包行(xing)(xing)為不合常理。賽(sai)(sai)奧(ao)(ao)(ao)公(gong)(gong)(gong)司(si)在施(shi)工前未準確測(ce)量,C棟電(dian)(dian)梯因而需重做,至此喻某又(you)以(yi)業(ye)(ye)(ye)委(wei)會(hui)(hui)(hui)名義與賽(sai)(sai)奧(ao)(ao)(ao)公(gong)(gong)(gong)司(si)簽(qian)訂合同(tong)(tong)(tong)變更書約(yue)定(ding)(ding)電(dian)(dian)梯重做費用10.48萬(wan)(wan)元(yuan)由(you)業(ye)(ye)(ye)主(zhu)(zhu)方承擔一(yi)(yi)半。喻某的(de)(de)上(shang)述(shu)行(xing)(xing)為構成合同(tong)(tong)(tong)法第(di)(di)五十(shi)條(tiao)規定(ding)(ding)的(de)(de)越權代表,賽(sai)(sai)奧(ao)(ao)(ao)公(gong)(gong)(gong)司(si)對此未盡審(shen)慎義務,故上(shang)述(shu)合同(tong)(tong)(tong)變更條(tiao)款(kuan)(kuan)(kuan)(kuan)不能約(yue)束業(ye)(ye)(ye)主(zhu)(zhu)一(yi)(yi)方。據此,重慶(qing)三(san)(san)中(zhong)(zhong)院認(ren)定(ding)(ding)涉案電(dian)(dian)梯更換(huan)價(jia)款(kuan)(kuan)(kuan)(kuan)應依據雙方約(yue)定(ding)(ding)的(de)(de)中(zhong)(zhong)標公(gong)(gong)(gong)示(shi)價(jia)73.5萬(wan)(wan)元(yuan)計價(jia),扣除賽(sai)(sai)奧(ao)(ao)(ao)公(gong)(gong)(gong)司(si)未完成的(de)(de)電(dian)(dian)梯的(de)(de)廳門(men)大門(men)套裝(zhuang)飾(shi)項目6.2萬(wan)(wan)元(yuan)以(yi)及(ji)杭(hang)富(fu)品(pin)山(shan)(shan)水(shui)業(ye)(ye)(ye)委(wei)會(hui)(hui)(hui)已(yi)支付(fu)的(de)(de)62.5萬(wan)(wan)元(yuan),最終改判由(you)杭(hang)富(fu)品(pin)山(shan)(shan)水(shui)業(ye)(ye)(ye)委(wei)會(hui)(hui)(hui)向(xiang)(xiang)賽(sai)(sai)奧(ao)(ao)(ao)公(gong)(gong)(gong)司(si)支付(fu)剩余電(dian)(dian)梯更換(huan)價(jia)款(kuan)(kuan)(kuan)(kuan)4.8萬(wan)(wan)元(yuan)。

業(ye)(ye)(ye)主(zhu)大(da)會是業(ye)(ye)(ye)主(zhu)的(de)自治組(zu)織(zhi),由(you)物(wu)業(ye)(ye)(ye)管理(li)區(qu)域內的(de)全體業(ye)(ye)(ye)主(zhu)組(zu)成,是建(jian)筑區(qu)劃內建(jian)筑物(wu)及其附(fu)屬設施的(de)管理(li)機(ji)構。建(jian)筑區(qu)劃內的(de)業(ye)(ye)(ye)主(zhu)均(jun)有(you)權參(can)加業(ye)(ye)(ye)主(zhu)大(da)會行(xing)使業(ye)(ye)(ye)主(zhu)權利(li),對依法應由(you)業(ye)(ye)(ye)主(zhu)共(gong)同決定的(de)事(shi)項(xiang)行(xing)使表決權。
業主(zhu)(zhu)委(wei)員(yuan)會(hui)(hui)選舉產生的(de)(de)(de)負(fu)責人即為(wei)業主(zhu)(zhu)委(wei)員(yuan)會(hui)(hui)主(zhu)(zhu)任,代(dai)表(biao)(biao)業主(zhu)(zhu)委(wei)員(yuan)會(hui)(hui)行(xing)使職責,執行(xing)業主(zhu)(zhu)大(da)會(hui)(hui)的(de)(de)(de)決定事項(xiang),不得就未(wei)經業主(zhu)(zhu)大(da)會(hui)(hui)表(biao)(biao)決的(de)(de)(de)事項(xiang)以業主(zhu)(zhu)委(wei)員(yuan)會(hui)(hui)的(de)(de)(de)名義對(dui)外任意簽訂合同(tong)、從事交易,尤其(qi)是(shi)涉及(ji)到需動用業主(zhu)(zhu)共有(you)的(de)(de)(de)建筑物及(ji)其(qi)附屬設施(shi)的(de)(de)(de)維修資金(俗稱大(da)修基金)的(de)(de)(de)有(you)關事項(xiang)時,更不能擅(shan)作擅(shan)為(wei),否則(ze)將(jiang)構成(cheng)越權(quan)代(dai)表(biao)(biao)。在相對(dui)人對(dui)此知(zhi)(zhi)曉或(huo)者應當知(zhi)(zhi)曉的(de)(de)(de)情形(xing)下,其(qi)代(dai)表(biao)(biao)行(xing)為(wei)對(dui)業主(zhu)(zhu)方不產生法(fa)律(lv)拘束力(li)。業主(zhu)(zhu)委(wei)員(yuan)會(hui)(hui)負(fu)責人及(ji)其(qi)他成(cheng)員(yuan)均應牢記(ji)權(quan)力(li)是(shi)業主(zhu)(zhu)共同(tong)賦予的(de)(de)(de),有(you)權(quan)必有(you)責,用權(quan)須(xu)公開,應始終堅持代(dai)表(biao)(biao)業主(zhu)(zhu)的(de)(de)(de)共同(tong)利益,依法(fa)妥善履行(xing)職責,做到該(gai)公開的(de)(de)(de)須(xu)公開,該(gai)表(biao)(biao)決的(de)(de)(de)須(xu)表(biao)(biao)決,切實充分保護業主(zhu)(zhu)的(de)(de)(de)知(zhi)(zhi)情權(quan)、監(jian)督權(quan)和(he)表(biao)(biao)決權(quan)。
值得關(guan)注的(de)是,民法典第(di)二(er)百七十八條(tiao)針對使用建筑物及(ji)其附屬(shu)設施(shi)的(de)維修資金這一事項的(de)表決(jue)規(gui)則(ze)已(yi)作修改。即首先應當由專有部分(fen)(fen)面積(ji)占(zhan)比三分(fen)(fen)之二(er)以(yi)上的(de)業主(zhu)且(qie)人數占(zhan)比三分(fen)(fen)之二(er)以(yi)上的(de)業主(zhu)參(can)與表決(jue);其次(ci)應當經參(can)與表決(jue)專有部分(fen)(fen)面積(ji)過半數的(de)業主(zhu)且(qie)參(can)與表決(jue)人數過半數的(de)業主(zhu)同意(yi)。
